Two factoids about equipment leasing in the 21st Century lead to a single conclusion. One: equipment leasing is more competitive than ever. Two: Lessees are smarter and more aggressive than ever. The conclusion: lessors must use every tool at their disposal to attract good credit lessees, including the terms of our lease agreements.

Knowing what is in your form lease document, how it compares to your competitor's and what you can promise your lessee can be your most valuable marketing tool. The presentation will focus on several key equipment lease provisions, drawing in part on the results of a poll of technology lessees, the results of which are often surprising. You will come away with both an understanding of, lease language and how a willingness to negotiate certain provisions can give you a competitive advantage.

Vendor financing programs constantly are being put together with great fanfare and good intentions. Soon after the business starts to flow, though, deals are turned down, the accountants raise revenue recognition issues, and the vendor starts to waiver on its commitment to a financing program. A mutually beneficial relationship suddenly begins to lose its luster due to the operational challenges of the program.

The key to a successful vendor financing program is to identify and address these many challenges up front. Shawn Halladay of The Alta Group will moderate a panel discussion of how to maximize vendor program results. Steps include extensive in-depth planning and analysis, identification of risk and recourse issues, a disciplined partner selection process, financial modeling exercises, and review of process requirements. All these steps should occur prior to signing the program agreement. The discussion will leverage The Alta Group's extensive market and execution experience in this arena. The session will highlight how careful up front study and forethought not only pay major dividends, but also how to obtain sales force buy-in through communication and training initiatives.

Companies in an array of industries and at varying stages of their lifecycles use asset-based loans for a multitude of reasons including mergers and acquisitions, debt refinancing, capital expenditures, working capital, leverage buyouts and even employee stock ownership programs. In fact, use of this popular financing tool has grown so rapidly that the total value of outstanding asset-based loans more than tripled from 1994 to 2004, according to the Commercial Finance Association. Asset-based loans today are often used in combination with other financial products or services including treasury management, foreign exchange and interest rate hedging, and investment banking products and services. Many borrowers look for lenders that have broad capabilities and can offer a total financing solution. This presentation will address the uses and benefits of asset-based financing as well as Bank of America Business Capital’s leadership position in the asset-based lending industry. The tougher credits and lease structures have always been a challenge for lessors. New types of investors are investing is specific transactions. Usually the leases have to have a value above $1 million and sometimes above $10 million. These funding sources include hedge funds, private money and foreign funds. They will take credit or collateral risk that traditional funding sources will not entertain. They are staffed by people from the leasing industry; with many coming from the side of distressed debt. While they tend to like public companies that are having difficulty, they will also finance private companies.

Independent lessors have usually been capital constrained. Now new breeds of investors, with deep pockets, want to invest in the leasing companies themselves. These investors look for strong management and a growth plan. The investments take many forms – sub debt, mezzanine, preferred equity, convertible equity and common equity. Some want a controlling interest, while others only seek normal oversight. Their time horizon to obtain their yield is typically 5 to 10 years. They will invest in companies that are too small to consider securitization. Many want to work with the lessor as a coach.

The paternalistic element of the legislative and judicial branches of the Federal and State governments is revealed by the complex legal framework designed to protect individuals engaged in transactions for personal, family or household purposes. Some examples include the Federal Fair Credit Reporting Act (designed to protect financial information of consumers) and Federal and State Unfair and Deceptive Trade Practice Acts (designed to protect consumer from being injured by generally deceptive behavior). Unfortunately, these consumer-protection-oriented laws are now sometimes being applied in the context of commercial equipment leases. This session discusses some recent areas in which consumer laws have crept into commercial leasing transactions in an attempt to focus the attention of leaders in the industry on the topic before the commercial leasing becomes overwhelmed by the complex legal framework applied to consumer lending.
