Implementing and Managing a LKE Program for Your Lease Portfolio
|
The IRS recently clarified like kind exchange ("LKE") guidelines on long standing rules that allow you to indefinitely defer federal and state income tax due on the sale of off lease assets. Here is how it works. For every leased asset that is sold and replaced, you treat the sold asset as if it had never been disposed and continue to depreciate it for its remaining life. Any additional funds (over the sales proceeds) needed to acquire the new asset are then depreciated under a separate schedule. To determine depreciation for the exchange, the two layers are combined. The deferral of the gain on the sale of the old asset reduces the basis in the acquired property.
PricewaterhouseCoopers Like-Kind Exchange Services group offers a full-service like-kind solution for the leasing industry. Most lessors pay 40% of the sales proceeds in federal and state tax because they are unaware of these rules and fail to properly structure the sale and replacement of their off lease assets to qualify as a like-kind exchange.
In effect, LKE turns the temporary timing difference afforded by accelerated tax depreciation into a permanent interest free loan on your portfolio costs. With the successful implementation of an LKE program, our clients indefinitely defer recognizing the tax gain on disposition of their leased property for as long as they continue to replace leases.

Mergers, Acquisitions and Raising Capital for Equipment Leasing & Financing

This program will be moderated by Bruce Kropschot, President of Kropschot Financial Services of Vero Beach, Florida. His firm is an M&A advisory firm that has initiated the sale of over 150 equipment leasing and specialty finance businesses in the past 21 years and also helps equipment leasing and finance companies find sources of debt and equity. He will talk about the current M&A market and capital availability for equipment leasing and financing businesses.
The panel will include Steve Hamilton of St. Louis based CSI Leasing, Inc., one of the largest independent information technology leasing companies in the world, with assets in excess of $1 billion and operations in more than 17 countries. Mr. Hamilton, who is CSI's Executive Vice President for acquisitions and international operations, will talk about his experiences in acquiring computer leasing businesses in the U.S. and internationally.
Also on the panel is Philip Cooper, who has recently formed American Industrial Finance, Inc. and is currently pursuing financial backers for this new business. Mr. Cooper is the former Chairman, President and CEO of ORIX Credit Alliance, Inc., a company that he was with for 29 years and that he helped grow to total assets of $3.6 billion. He will talk about his capital raising efforts and why he believes there is a market niche where his new company can be successful.
